Welcome to SurfMind, operated by SurfMind LLC ("Company", "we", "us", or "our"). These Terms of Use ("Terms") govern your access to and use of our Chrome extension and related services (collectively, the "Services"). By accessing or using the Services, you agree with these Terms.

1. Our Services

Our Services provide AI-powered tools designed to enhance your browsing experience by facilitating seamless interaction with Large Language Models (LLMs) of your choice. This includes enabling context-aware conversations with AI models using website content, providing a unified interface for multiple AI providers, enhancing productivity through AI-assisted browsing, and, where enabled by you, allowing an AI agent to interact with web pages through your browser.

SurfMind is available as:

• Chrome browser extension available through the Chrome Web Store
• Backend services for user authentication, credit management, and token-based AI request routing
• Web platform for account management and support

The Services are designed with privacy-first principles. We do not sell your personal information to third parties and commit to the highest privacy standards. Website content is processed locally in your browser. The Services do not offer compliance with industry-specific regulations (e.g., HIPAA, FISMA) and should not be used where such compliance is required. Please contact us for an enterprise version tailored for industry-specific regulations.

1.1 Browser Control and AI Agent Actions

Some Services may allow an AI agent to read, navigate, click, type, submit forms, interact with website interfaces, or otherwise take actions in your browser at your direction ("Agent Actions"). Agent Actions may affect third-party websites, accounts, data, purchases, subscriptions, messages, files, settings, or other online activity. Agent Actions are based on your prompts, permissions, browser state, website content, and responses from third-party AI providers, and may not operate as you intend.

You are solely responsible for all Agent Actions taken through your browser or account, including any resulting transactions, communications, changes to data, access to third-party services, violations of third-party terms, or legal consequences. You should supervise the AI agent, review important steps before they are completed, and independently verify any outcome. Do not use browser control for high-risk activities, including financial transactions, legal or medical decisions, employment or housing decisions, emergency services, irreversible account changes, security-sensitive operations, or any activity where an error could cause material harm, unless you personally review and approve the action and accept the risk.

SurfMind does not control third-party websites, third-party AI providers, or the final effect of Agent Actions on external services. Your use of browser control is at your own risk and remains subject to the terms, policies, permissions, and technical limitations of the websites and services with which the agent interacts.

1.2 Eligibility and Age Limits

You must be at least 13 years old to use the Services, or at least 16 years old if you reside in the European Economic Area. If you are under 18 years old, you must have permission from your parent or legal guardian to use the Services. By using the Services, you represent and warrant that you meet these eligibility requirements.

2. Intellectual Property Rights

2.1 Our Content

All software, code, design, trademarks, and other materials provided by us are owned or licensed by SurfMind and are protected by intellectual property laws. We grant you a limited, revocable, non-exclusive license to access and use the Services for lawful purposes in accordance with these Terms.

2.2 AI-Generated Content

Content generated through your interaction with third-party AI providers via our Services is subject to the terms and conditions of those respective AI providers. SurfMind does not claim ownership over content generated by third-party AI services. Your rights to such content are governed by the terms of service of the specific AI provider you choose to use (e.g., OpenAI, Anthropic, Google, OpenRouter).

2.3 User Content

You retain ownership of any content you input into the Services. However, you grant us a limited license to process such content as necessary to provide the Services, including facilitating communication with your chosen AI providers.

3. User Inputs and Submissions

You represent and warrant that you have the legal right to use any input you submit to the Services, including website content you choose to share with AI providers. You are solely responsible for ensuring that your use of the Services and any resulting output does not violate applicable laws or the rights of others.

You acknowledge that:

• Content you share with AI providers through our Services is subject to their respective privacy policies and terms of service
• You are responsible for reviewing and complying with the terms of any third-party AI services you use
• You are responsible for prompts, instructions, permissions, browser state, and other context you provide or make available to the Services
• SurfMind acts solely as a facilitator and does not control or monitor the content of your interactions with AI providers

By submitting feedback or suggestions about our Services, you grant us a perpetual, royalty-free license to use that feedback for any purpose without compensation.

4. Third-Party AI Services

Our Services facilitate access to third-party AI providers including but not limited to OpenAI, Anthropic (Claude), Google (Gemini), and OpenRouter. Your use of these AI services is subject to their respective terms of service and privacy policies:

You are responsible for obtaining and maintaining valid accounts and API access with these providers. When using Bring-Your-Own-Key (BYOK) functionality, you represent and warrant that your generation, storage, and use of API keys comply with the applicable provider's developer agreements, terms of service, policies, and security requirements. SurfMind is not liable if a third-party AI provider suspends, restricts, or terminates your API access or account because of your use of our extension or Services.

SurfMind is not responsible for any disruptions, limitations, suspensions, terminations, or changes to third-party AI services.

Our Services may also interact with third-party websites and online services through browser control. SurfMind does not own, operate, endorse, monitor, or assume responsibility for those websites or services. You are responsible for ensuring that any Agent Action complies with the terms, policies, permissions, and laws that apply to the relevant website or service.

5. User Responsibilities and Account Management

When using our Services, you are responsible for:

• Maintaining the confidentiality and security of your account credentials, including your API keys, email and password
• Providing accurate and up-to-date account information
• Managing your credit balance and monitoring your token usage
• Ensuring compliance with the rate limits and usage policies of AI providers
• Understanding that your usage is subject to your available credit balance
• Supervising and verifying Agent Actions before relying on their results
• Maintaining appropriate permissions and authority for any website, account, data, or third-party service the AI agent accesses or interacts with
• Keeping your browser and the extension updated for optimal security and performance
• Notifying us immediately of any unauthorized access to your account

6. Acceptable Use

You agree not to:

• Use the Services in a manner that violates any applicable law or regulation
• Upload, input, or transmit content that is illegal, harmful, threatening, abusive, defamatory, or infringes on any rights
• Reverse engineer, decompile, disassemble, or attempt to extract source code from the Services
• Use the Services to access or interact with websites or content without proper authorization
• Use browser control to make unauthorized transactions, send deceptive communications, bypass paywalls or access controls, scrape data where prohibited, manipulate rankings or reviews, or violate any third-party website terms
• Use Agent Actions to access, modify, delete, exfiltrate, or disclose data without proper rights or permission
• Attempt to circumvent, disable, or interfere with security-related features of the Services
• Use the Services in any manner that could damage, disable, overburden, or impair our systems
• Share, distribute, or misuse API keys or credentials belonging to others

7. Privacy and Data Processing

Our privacy practices are detailed in our Privacy Policy. By using the Services, you acknowledge that:

• When using your own API keys:

  Your API keys are stored locally in your browser only and sent directly to AI providers. SurfMind does not have access to your keys or conversation content.

• When using SurfMind credits:

  We collect account information (email, credit balance) and usage metadata (model, timestamp, token cost) for credit management and records.

• Website content processing occurs locally within your browser.

• We do not sell your personal information to third parties.

• Data you share with AI providers is subject to their respective privacy policies.

8. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind. We specifically disclaim:

• Any guarantee of accuracy, completeness, or reliability of AI-generated content
• Any guarantee that Agent Actions will be accurate, complete, secure, reversible, authorized by a third-party service, or aligned with your intent
• Continuous, uninterrupted, or error-free operation of the Services
• Compatibility with all websites, browsers, or systems
• The availability, performance, or terms of third-party AI services

Content generated by AI services is for informational purposes only and is not a substitute for professional advice. Agent Actions may be incorrect, incomplete, delayed, blocked, unintended, or affected by prompt injection, malicious website content, website changes, third-party service outages, or model errors. You are solely responsible for verifying the accuracy and appropriateness of any AI-generated output or Agent Action and for compliance with applicable laws, regulations, and third-party terms.

9. Limitation of Liability

To the fullest extent permitted by applicable law, SurfMind and its affiliates, officers, employees, agents, partners, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, data, use, goodwill, or other intangible losses
• Damages resulting from your use or inability to use the Services
• Damages resulting from Agent Actions, including transactions, messages, submissions, account changes, data loss, data disclosure, unauthorized access, or interactions with third-party websites or services
• Damages resulting from any third-party AI service disruptions or changes
• Costs associated with third-party AI service usage
• Unauthorized access to or alteration of your transmissions or data

10. Indemnification

You agree to indemnify, defend, and hold harmless SurfMind and its affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from:

• Your use of the Services in violation of these Terms
• Your violation of any applicable law or regulation
• Your violation of any rights of another party
• Your use of third-party AI services through our platform
• Agent Actions taken through your browser, account, credentials, permissions, prompts, or instructions, including claims by third-party websites, service providers, or other users

11. Credits, Billing, and Refund Policy

11.1 Credit System

SurfMind operates on a pay-as-you-go credit system:

• Free Credits:

  New users receive a one-time allocation of complimentary credits upon account creation. These free credits do not expire and can be used until depleted. However, we reserve the right to modify, reduce, or revoke free credits at any time, at our sole discretion, without prior notice or liability. Free credits have no cash value and cannot be transferred, sold, or exchanged.

• Top-Up Credits:

  You can purchase additional credits at any time through the Services. Purchased credits are added to your account balance and can be used to access AI services. Current pricing and credit packages are available on our pricing page and may be updated from time to time.

11.2 Payment Terms

For credit purchases:

• Payment is processed through our third-party payment processor (Stripe). By purchasing credits, you agree to their terms of service.
• Credits are added to your account balance upon successful payment and are available for immediate use.
• Purchased credits do not expire and remain in your account until used, unless your account is terminated in accordance with these Terms.
• We may change credit pricing at any time. Price changes apply only to future purchases and do not affect credits already purchased.
• All prices are exclusive of applicable taxes, which will be added where required by law.

11.3 Refund Policy

All credit purchases are final and non-refundable. By purchasing credits, you acknowledge and agree that no refunds will be provided for any reason, including but not limited to dissatisfaction with the Services or unused credits.

Exceptions may apply where required by applicable law, including:

• Unauthorized or fraudulent charges on your account
• Technical failures on our part that prevent access to the Services for an extended period
• Consumer protection rights mandated by your jurisdiction

If you believe you are entitled to a refund under any of these exceptions, please contact our support team with details of your request. All refund requests are subject to our review and approval.

11.4 Token Usage and Fair Use

Tokens are the unit of measurement for AI service usage within SurfMind. Token consumption varies based on the AI model used, input length, and output length. Credits are deducted from your balance based on token usage. You are responsible for monitoring your credit balance and usage. We reserve the right to implement fair use policies and rate limits to ensure service quality for all users.

12. Termination

We reserve the right to suspend or terminate your access to the Services at our sole discretion, with or without notice, for any reason, including but not limited to:

• Violation of these Terms
• Suspected fraudulent, abusive, or illegal activity
• Extended periods of inactivity
• Technical or security reasons

Upon termination, your right to use the Services will cease immediately. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

13. Changes to Terms

We may modify these Terms from time to time. When we make changes, we will:

• Post the updated Terms on our website
• Update the "Last updated" date
• Provide notice of material changes through the extension or other reasonable means

Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Services.

14. Governing Law and Dispute Resolution

SurfMind LLC is a Delaware limited liability company. These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules, except that either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property rights or confidential information.

The arbitration shall be conducted in Dover, Delaware, or via remote proceedings as agreed by the parties. The arbitrator's decision shall be final and binding, and judgment may be entered upon it in any court having jurisdiction.

Class Action Waiver: To the fullest extent permitted by law, you and SurfMind LLC agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

15. General Provisions

These Terms constitute the entire agreement between you and SurfMind regarding the Services. If any provision of these Terms is found to be unenforceable, the remainder shall remain in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
